EXC AN UNDIVIDED ONE-HALF INTEREST IN ALL MINES AND MINERALS OTHER THAN COAL AS SET FORTH IN TRANSFER NO.117777
The property is located in the Rural Municipality of Riverdale, Manitoba, at the approximate GPS Coordinates:

Conditions of Tender:
1. The property consists of a total of approximately 155 Acres with no buildings. The land is subject to the following encumbrance, which shall remain on title: Caveat No. 83-2674/2.
2. Property is being sold on an unconditional, "as is where is" basis. No representations or warranties are made with respect to the property. Interested parties must rely on their own inspection of the property and title thereto and not on the above or any other statements made by or documentation provided by or on behalf of the seller. The seller makes no representations or warranties (nor can same be implied) as to any unregistered easements or rights of way, encroachments, description, zoning, use, condition, value, land quality, environmental condition, suitable use, or size of the property.
3. In the event that the purchaser wishes to operate a private aggregate quarry for the removal of sand and/or gravel from the property, it will be incumbent on the purchaser to apply for and secure any registration certificate that may be required by the Manitoba Mines Branch under The Mines and Minerals Act (Manitoba).
4. Each tender must be sealed and in writing, accompanied by deposit paid by bank draft, certified cheque or solicitor's trust cheque in the amount of 10% of the offered price payable to Thompson Dorfman Sweatman LLP, IN TRUST. Deposits accompanying unaccepted bids will be returned.
5. All tenders must be received by the deadline of March 31, 2026 at 4:00 p.m. CST and include the full name, address, phone number and email of the purchaser.
6. Only tenders for the entire portion of property will be considered and shouldn't be subject to any conditions precedent.
7. On acceptance of the tender, the deposit will be applied to the purchase price and the balance remaining will become due and payable on the closing date. The closing date shall be 30 days after the successful bid is determined. If the balance of the accepted tender is not paid by the closing date, the deposit paid will be forfeited as liquidated damages and not as a penalty.
8. The property has not been listed for sale with any agent and no sales commissions will be paid to any agent representing any tenderer.
9. The highest, or any, tender
will not
necessarily be accepted.
10. No submitted tender may be varied or withdrawn prior to the notification of acceptance or rejection.
11. The successful bidder will be required, following acceptance, to sign a purchase agreement based on the accepted tender terms and will sign the standard Thompson Dorfman Sweatman LLP agreement of purchase and sale for agricultural property within fourteen days of being advised that they are the successful bidder.
12. Property taxes will be paid to December 31, 2025. Property taxes for 2026 will be adjusted for, effective as of the closing date. All other taxes including GST and Land Transfer Tax shall be the responsibility of the purchaser. Each of the seller and purchaser shall be responsible for their own legal fees to complete the sale.
